 Equity partners hold membership interests in the SPV with well-defined rights, distributions, and protections. Promote structures, when present, are clearly articulated and governed through a dedicated Promote HoldCo.

High-quality reporting is one of the best ways to respect an investor’s time and capital. Sightwell provides updates on a consistent cadence, with each communication designed to be clear, complete, and free of fluff.

 Each project includes a clearly drafted Operating Agreement outlining capital contributions, member rights, voting thresholds, distribution waterfalls, governance procedures, and exit pathways.

We maintain transparent capital accounts. Investors always know:

  • their contributed capital 
  • their share of distributions 
  • their promote allocations (when applicable) 
  • their tax basis and annual K-1 positions 

This structure removes ambiguity and allows for clean year-end reconciliation.
